    Executive Officers

    Philip R. Ladouceur

    Mr. Ladouceur is Chairman of the Board, and has served as Chief Executive Officer and as a director of the Company since October 1996. Mr. Ladouceur was President of the Company from October 1996 to October 1997. Mr. Ladouceur has extensive experience in structuring, financing and managing corporations in the telecommunications, cable television, information technology, broadcasting and merchant banking industries.

    Prior to joining MetroNet, Mr. Ladouceur was Executive Vice President, Operations at Bell Canada International Inc., from February 1995 to October 1996 where he led key restructuring efforts and the formation of a major joint venture with IBM Canada. From October 1992 to February 1995, Mr. Ladouceur was the founding President and Chief Executive Officer of ISM Information Systems Management (Alberta) Ltd., ("ISM") a Canadian computer and network management outsourcing company. Under Mr. Ladouceur's direction, ISM grew to $75 million in revenue on an annual basis, and over 700 employees in a two-year period from start up.

    Mr. Ladouceur founded, and from June 1990 to October 1992 was the Managing Director of, HDL Capital Corporation, a Toronto-based merchant bank which specializes in business turnarounds, management buyouts, and financing for medium and small businesses in the telecommunications, technology, software, and retail sectors. From 1986 to 1989, Mr. Ladouceur was Senior Vice President, Finance, Chief Financial Officer and a director of Rogers Communications Inc., one of the largest cable, cellular and broadcasting companies in North America. While there he oversaw the completion of over $3 billion in public and private financings.

    Mr. Ladouceur is currently serving as the Chairman of the Competitive Telecommunications Association of Canada.

    Eric Hobson

    Mr. Hobson became President of MetroNet in October 1997, has been a Director of MetroNet since July 1996 and serves as Chairman of the Compensation Committee. Mr. Hobson was also acting Chief Operating Officer from July 1997 until October 1997. From January to December 1996, Mr. Hobson was a consultant and strategic advisor to the Chief Executive Officer for TransCanada PipeLines Limited. Mr Hobson is currently President of Hobson's Choice Holding Corporation, an investment company that is a shareholder of the Company, and President of 354869 Alberta Ltd., a consulting company.

    From October 1994 to December 1995, Mr. Hobson served as an Executive Vice President of TransCanada Energy Management Ltd. From October 1984 to October 1994, Mr. Hobson held various management positions at Northridge Canada Inc. and Northridge Petroleum Marketing Inc., most recently, as President of Northridge Petroleum Marketing Inc.

    Mr. Hobson is a Professional Engineer with a degree in Electrical Engineering from Carleton University. Mr. Hobson is currently a director of TranCanada Power, L.P.

    Richard K. Coleman, Jr.

    Mr. Coleman joined MetroNet in October 1997 as Executive Vice President and Chief Operating Officer for the Company. Mr. Coleman is responsible for managing all aspects of the operations of MetroNet. Mr. Coleman joined MetroNet from US WEST Long Distance ("US West") where he served as President since November 1995 and had responsibility for building US WEST's long distance service business from start up.

    From May 1994 to August 1995, Mr. Coleman was Vice President - Operations and Network Planning at Frontier Communications International ("Frontier") where he had responsibility for management and growth of the long distance business and also served as President of Frontier Network Systems, Frontier's customer premises equipment business.

    From June 1992 to May 1994, Mr. Coleman held a number of senior management roles including Senior Vice President / Chief Service Officer for Centex Telemanagement Inc., a telecommunications management services company. From May 1983 to June 1992, Mr. Coleman held various senior operating management positions at Sprint Communications Corporation.

    Mr. Coleman holds a Bachelor of Science degree from the United States Air Force Academy and a Masters of Business Administration from the Golden Gate University.

    Robert W. McKenzie

    Mr. McKenzie became an Executive Vice President of MetroNet in October 1997, has been a Director of MetroNet since July 1996, and serves as Chairman of the Audit Committee. Mr. McKenzie was Chairman of the Board of Directors of the Company from July 1996 until October 1997. Mr. McKenzie is currently the President of RSM Investment Ltd., a shareholder of the Company, and is the Secretary of 354869 Alberta Ltd., a consulting company.

    From January to December 1996, Mr. McKenzie was a consultant and strategic advisor to the Chief Executive Officer for TransCanada PipeLines Limited, prior to which time he was President of TransCanada Energy Management Ltd. from October 1994 to December 1995. Prior to joining TransCanada Energy Management Ltd., Mr. McKenzie served as President of Northridge Canada Inc. and as Executive Vice President of Northridge Petroleum Marketing Inc., an energy marketing and trading company that was built from start up to a company with over $3 billion in revenue on an annual basis and which was purchased by TransCanada PipeLines Limited in 1994.

    Mr. McKenzie is a Chartered Accountant with 10 years experience with KPMG.

    Robert C. Bicksler

    Mr. Bicksler has been Executive Vice President and Chief Financial Officer of the Company since September 1997. Mr. Bicksler has over 22 years of experience in structuring, financing and managing various entities in North America and Europe.

    Prior to joining MetroNet, he was Executive Vice President - Chief Financial and Administrative Officer and Managing Director, Services Business Unit of Performance Awareness Corporation, now a division of Rational Software Corporation, a firm specializing in the performance testing software market, from April 1996 to June 1997. Prior to his appointment at Performance Awareness Corporation, Mr. Bicksler served as Executive Vice President - Chief Financial and Administrative Officer of Seer Technologies, Inc., a firm selling application development software and related consulting services, from February 1994 to March 1996. He began his career with Coopers & Lybrand in 1975 and was admitted as a partner in 1984. He was the Managing Tax Partner - Carolinas at the time of his resignation in January 1994.

    Mr. Bicksler is a Certified Public Accountant and holds a Bachelor of Science degree in Accounting from The Pennsylvania State University. He also holds a Masters of Science in Accounting from the University of North Texas.

    Thomas F. Gillett

    Mr. Gillett became Senior Vice President, Business Development of MetroNet in October 1997 and prior to that time had served as Vice President and Chief Technology Officer of MetroNet from February 1996 to October 1997. Mr. Gillett was the founder and, from January 1992 to February 1997, the President of GLA, a telecommunications consulting firm and a wholly-owned subsidiary of Brooks, one of the largest CLECs in the United States. Mr. Gillett was also one of the founders of Brooks.

    Mr. Gillett has 27 years of experience in the telecommunications and cable network technology field and related matters, including planning, strategic analysis, regulatory testimony, performance standards and infrastructure issues. Mr. Gillett has a Bachelor of Science in Management Engineering and a Master of Science degree in Management from Rensselaer Polytechnic Institute.

    Ronald W. Preston

    Mr. Preston became Senior Vice President, Network Operations and Technology of MetroNet October 1997, and prior to that time had served as Vice President, Network Operations of MetroNet from May 1997 to October 1997, in which capacity he was responsible for network management, customer care and information technologies. Mr. Preston joined MetroNet from Bell Canada, Canada's Largest ILEC, where he was most recently Vice President, Operations and Technology Solutions.

    From January 1995 to October 1996, Mr. Preston was Vice President, Long Distance, responsible for the management of Bell Canada's long distance market and from February 1992 to December 1994, he was Vice President, Business Marketing and Sales Support.

    Mr. Preston has over 26 years of experience with Bell Canada in network operations, network planning and provisioning, marketing, technology development and sales support. Mr. Preston is a professional Engineer and holds a Bachelor Applied Science degree from the University of Toronto. Mr. Preston is a member of the Association of Professional Engineers of Ontario and was the Chair of the Organizing Committee of the ISS'97: World Telecommunications Congress held in Toronto in September 1997.

    Andrew J. Kyle

    Mr. Kyle was appointed Vice President and General Manager, Western Region for MetroNet in April 1997 and prior to that time served as President of MetroNet Alberta Inc. from October 1996 to April 1997 and as President of MetroNet and Metro Calgary Fiber Services Inc. from March 1995 until October 1996. Mr. Kyle was a consultant to Northridge Canada Inc. from July 1993 to March 1995.

    Mr. Kyle has over 15 years of marketing and general management experience. Prior to his involvement with Northridge Canada Inc., Mr. Kyle jointly founded in 1988 Dalex Real Estate Strategies Inc., a commercial real estate firm specializing in office leasing in the Calgary market.

    David J. Pasieka

    Mr. Pasieka joined MetroNet in December 1996 as Vice President and General Manager, Ontario Region. Mr. Pasieka held various senior positions at Unitel Communications Inc. ("Unitel") (now AT&T LDS) from September 1989 to December 1996 and, prior to that, at Bell Canada.

    From August 1995 to December 1996, Mr. Pasieka was Vice President of Access Strategy for AT&T LDS. From February 1994 to July l995, Mr. Pasieka was Vice President of Marketing for Unitel's small and medium-sized telecommunications market segments, where he exceeded revenue and profitability targets and led the launch of new services, such as 800 Service. From June 1993 to February 1994, Mr. Pasieka was Director of Operations Planning and from December 1990 to May 1993 he was Director, Voice and Messaging Systems at Unitel.

    Mr. Pasieka holds a Bachelor of Science degree from the University of Waterloo and a Master of Business Administration degree from York University in Toronto.

    Pierre Collins

    Mr. Collins joined MetroNet in June 1997 as Vice President and General Manager, Quebec Region. From November 1995 to May 1997 Mr. Collins was the President of Capital Communications CDPQ Inc., a capital investment firm specializing in the telecommunications sector, with over $950 million in equity investments. Mr. Collins was a director of Teleglobe Canada Inc. from March 1996 to June 1997 and of Le Groupe Videotron Ltee from January 1996 to June 1997. From October 1994 to November 1995, Mr. Collins was the Vice President of CF Telecom, a CAP in Montreal, where he was responsible for the start up of that company. From September 1990 to October 1994, Mr. Collins was Executive Vice President and General Manager of Optinet Telecommunications, a provider of value-added data telecommunications services, an organization he built from start up.

    Mr. Collins holds a Bachelor of Mathematics and Computer Science degree from the University of Montreal.

    Leslie Ann Kalman

    Ms. Kalman has been Vice President, Treasury of the Company since October 1996. Ms. Kalman brings to MetroNet over 15 years of financial management experience across North America, in the areas of treasury, banking relations, forecasting, human resources and administration. Prior to joining MetroNet in October 1996, Ms. Kalman was Treasurer of TransCanada Energy Management Ltd. from September 1995 to January 1996. From May 1985 to September 1995, Ms. Kalman was Vice President of Finance and Administration at Northridge Petroleum Marketing Inc. Ms. Kalman was a Senior Chartered Accountant with KPMG from 1982 to 1985.

    Ms. Kalman has a Bachelor of Commerce degree with distinction from the University of Calgary.

    William W. L. Tam

    Mr. Tam has been Vice President, Marketing and Product Strategy for the Company since November 1996. Prior to joining MetroNet, Mr. Tam was Marketing Director for Rogers Network Services, Canada's largest CAP. He has also held marketing positions at Jones Lightwave of Englewood, Colorado from March to July 1995 and at Bell Canada from 1986 to 1995.

    Mr. Tam is a Professional Engineer and holds an Electrical Engineering degree from McGill University and a Master of Business Administration from the Western Business School in London, Ontario.

    Shirley J .Soehn

    Ms. Soehn joined MetroNet in December 1996 as Vice President, Regulatory and Government Affairs. Ms. Soehn is a Certified General Accountant and brings over 18 years of experience in the telecommunications industry to MetroNet. Prior to joining MetroNet, Ms. Soehn was Director, Regulatory Matters for Rogers Cantel Inc., one of Canada's largest cellular telephone companies from April to December 1996. Ms. Soehn was the Executive Director of the Ontario Telephone Association from February 1991 to April 1996. She also has held positions with the CRTC, Telecom Canada and SaskTel.

    Franklin S. M. Wong

    Mr. Wong joined MetroNet in January 1997 as Vice President, Alliances and Business Development. Mr. Wong brings over 13 years of business development, financial analysis and marketing experience to MetroNet. Prior to joining MetroNet, Mr. Wong was the Managing Director, Business Development at AT&T Communications Canada Inc. from December 1991 to December 1996.

    Mr. Wong holds a Bachelor of Science degree and a Master of Business Administration degree from the University of British Columbia.

    Steven B. Chisholm

    Mr. Chisholm was appointed as Vice President and General Counsel of the Corporation in June 1997 and has been the Corporate Secretary and legal counsel since February 1997. Mr. Chisholm is an active member of the Law Society of Alberta, the Canadian Bar Association and the Calgary Bar. From April 1995 to February 1997, Mr. Chisholm maintained an independent private practice, including providing legal services to the Company. From September 1992 through April 1995, Mr. Chisholm founded and was a partner at Legge & Chisholm. From May 1981 through September 1992, Mr. Chisholm was a member of MacLeod Dixon, a large Canadian law firm based in Calgary.

    Mr. Chisholm holds a Bachelor of Arts degree from Carleton University and a Bachelor of Laws degree from Osgoode Hall Law School in Toronto.

    Barbara A. Richardson

    Ms. Richardson joined MetroNet in August 1996 as Director of Business Planning, and in October 1997 became Vice President, Strategic Planning. Ms. Richardson brings over 13 years of experience in the technology and telecommunications industries to MetroNet. Prior to joining MetroNet, Ms. Richardson managed the customer service operations at Telus Mobility, one of Canada's largest mobile wireless companies, from October 1994 to July 1996. From June 1984 to October 1994, Ms. Richardson held a number of senior marketing and sales positions at IBM Canada.

    Ms. Richardson holds a Bachelor of Commerce degree from the University of Calgary.
